1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Flopays Ltd ("Flopays," "we," "us," or "our") governing your access to and use of our payment processing services, APIs, and website.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

To use Flopays services, you must:

• Be at least 18 years old and have the legal capacity to enter into contracts
• Provide accurate and complete registration information
• Operate a legitimate business in compliance with applicable laws
• Not be located in a country subject to sanctions or embargoes
• Not be listed on any government prohibited or restricted party lists

We reserve the right to refuse service to anyone for any reason at any time.

3. Account Registration

To use our services, you must create an account and provide:

• Accurate business and personal information
• Valid identification documents for KYC verification
• Bank account or cryptocurrency wallet information
• Authorization for background checks as required by law

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Keeping your account information current and accurate

4. Services

4.1 Payment Processing

Flopays provides payment processing services including:

• Cryptocurrency payment acceptance (Bitcoin, Ethereum, Litecoin, and others)
• Traditional payment methods (credit cards, debit cards, bank transfers)
• Payment gateway integration via API
• Currency conversion and settlement services
• Transaction monitoring and fraud detection

4.2 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may suspend or terminate services for maintenance, security, or compliance reasons. We are not liable for any losses resulting from service interruptions.

5. Fees and Payments

5.1 Transaction Fees

• Cryptocurrency payments: 1.5% per transaction
• Card payments: 2.9% + $0.30 per transaction
• International transfers: Additional fees may apply
• Currency conversion: Market rate + 1% spread

5.2 Payment Terms

• Fees are deducted automatically from each transaction
• Settlements occur within 1-2 business days for traditional payments
• Cryptocurrency settlements occur within 24 hours
• We reserve the right to hold funds for risk management purposes

5.3 Chargebacks and Refunds

You are responsible for handling customer disputes and chargebacks. Excessive chargebacks may result in account suspension. A $15 fee applies to each chargeback, regardless of outcome.

6. Prohibited Activities

You may not use Flopays services for:

• Illegal activities or transactions
• Money laundering or terrorist financing
• Sale of illegal goods, drugs, weapons, or counterfeit items
• Adult content, gambling (where prohibited), or pyramid schemes
• Fraudulent transactions or deceptive practices
• Processing payments for third parties without authorization
• Violating intellectual property rights
• Activities that violate sanctions or export control laws

Violation of these prohibitions may result in immediate account termination and reporting to law enforcement.

7. Compliance and Regulations

You agree to comply with all applicable laws and regulations, including:

• Anti-Money Laundering (AML) regulations
• Know Your Customer (KYC) requirements
• Payment Card Industry Data Security Standards (PCI DSS)
• General Data Protection Regulation (GDPR)
• Consumer protection laws
• Tax reporting obligations

We may request additional information or documentation at any time to verify compliance. Failure to provide requested information may result in account suspension.

8. Intellectual Property

All content, features, and functionality of Flopays services, including but not limited to text, graphics, logos, APIs, and software, are owned by Flopays and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our express written permission. You are granted a limited, non-exclusive license to use our API and services solely for your business purposes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• FLOPAYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR LOSSES CAUSED BY CRYPTOCURRENCY PRICE VOLATILITY
• WE ARE NOT RESPONSIBLE FOR DELAYS OR FAILURES IN BLOCKCHAIN NETWORKS
• WE ARE NOT LIABLE FOR THIRD-PARTY SERVICE FAILURES

10. Indemnification

You agree to indemnify, defend, and hold harmless Flopays and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or violation of any rights of third parties.

11. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Suspected fraud or illegal activity
• Excessive chargebacks or disputes
• Failure to comply with verification requests
• Risk management or compliance reasons

Upon termination, you remain liable for all outstanding fees and obligations. We may hold funds for up to 180 days to cover potential chargebacks or disputes.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

• Informal negotiation (30 days)
• Binding arbitration under the rules of the London Court of International Arbitration
• Arbitration shall be conducted in English in London, UK

You waive any right to participate in class action lawsuits or class-wide arbitration.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction over any disputes.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
